Our company, Wolt License Services (WLS), is a dynamic organization specializing in payment and financial services for our parent company Wolt, a prominent platform marketplace, and Wolt’s customers. WLS currently manages all merchant payment flows across 22 markets, ensuring strict adherence to regulatory requirements, including AML, safeguarding customer funds, and maintaining robust internal controls. As we continue to expand our financial services and drive innovation, we are seeking to strengthen our governance capabilities by recruiting a highly skilled and organized Governance Lead to join our 2LoD Risk & Compliance team. The Governance Lead will be responsible for maintaining and continuously improving the company's governance framework, ensuring effective decision-making structures, clear accountability and robust governance processes across the organization.
This role requires a deep understanding of governance best practices within regulated financial institutions, together with strong organizational, stakeholder management and communication skills. The Governance Lead will work closely with senior management, Board members, committee chairs and key stakeholders across Wolt group to ensure governance activities are executed efficiently and in line with regulatory expectations. The role will report to the Director, Risk & Compliance.
What you'll be doing
- Own and coordinate the governance calendar across the organization, ensuring the effective operation of Senior Management, the Board of Directors, committees and governance forums.
- Support the preparation, organization and execution of Board meetings, committees and other governance forums, including agenda planning, material coordination, minute-taking and follow-up tracking.
- Maintain and continuously improve the company's governance framework, ensuring clear decision-making authorities, escalation paths and accountability structures.
- Own the governance documentation architecture, ensuring governance documents, policies, committee charters, terms of reference, decision logs and corporate records are maintained, version-controlled and easily accessible.
- Coordinate governance reporting and material preparation for Senior Management, Board members, auditors, regulators and other stakeholders.
- Monitor governance actions, decisions and remediation activities, ensuring timely follow-up and clear ownership across the organization.
- Support the annual review and maintenance of governance-related policies, frameworks, committee structures and governance documentation.
- Coordinate governance-related regulatory deliverables and support regulatory examinations, audits and information requests relating to governance matters.
- Support the Director, Risk & Compliance in maintaining governance oversight across key regulatory domains, including risk management, compliance, outsourcing, operational resilience, financial crime prevention and safeguarding.
- Foster a strong governance culture by promoting awareness of governance responsibilities and supporting stakeholders in understanding governance requirements and expectations.
Our humble expectations
- Bachelor’s or Master’s degree in Business, Law, Finance, Corporate Governance, Risk Management or a related field.
- 5+ years of experience in corporate governance, company secretarial, risk management, compliance, internal audit, financial services regulation or related functions.
- Strong understanding of governance frameworks and board governance practices within regulated financial institutions, fintechs, payment institutions, e-money institutions, banks or other regulated environments.
- Experience supporting Boards of Directors, senior management committees or executive governance forums.
- Experience drafting high-quality Board materials, committee papers, governance documentation, minutes and executive-level reporting.
- Strong organizational and project management skills, with the ability to manage multiple governance processes and competing priorities simultaneously.
- Excellent written and verbal communication skills, including the ability to engage effectively with senior executives, Board members, auditors and cross-functional stakeholders.
- Strong attention to detail and ability to maintain high standards of documentation and governance administration.
- Familiarity with financial services regulatory frameworks, including governance expectations applicable to payment institutions, e-money institutions and fintech companies, is highly advantageous.
